Terms of Service

These Terms of Service ("Terms") govern your use of the Zoninga AI-assisted personal finance service at zoninga.com ("the Service"), operated by Zoninga ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy.

1. Description of Service

Zoninga is an AI-assisted personal finance service that allows you to:

  • Track bank accounts, transactions, and balances
  • Link bank accounts through Plaid for automatic transaction syncing
  • Create budgets, savings goals, and financial reports
  • Categorize and tag transactions
  • Export financial data for your records
  • Chat with a built-in AI assistant, or connect your own third-party AI assistant (e.g., Claude or ChatGPT)
  • Activate an optional AI monitoring agent that reviews your data daily (bill coverage, balances, unusual activity, bank-connection health) and sends you findings and suggestions

1.1 The AI Agent Does Not Move Money

Zoninga never moves your money. The Service — including the AI assistant and the monitoring agent — cannot initiate, execute, or redirect transfers, payments, or any other movement of real funds, and holds no custody of your money. When the agent suggests a money action (for example, "move $500 to savings to cover Friday's bill"), that suggestion is informational: nothing happens unless you approve it, and even an approved suggestion is completed by you, at your own financial institution, outside the Service. Zoninga is not a bank, money transmitter, payment processor, or money services business.

1.2 What the AI Assistant Can Do at Your Direction

At your direction, the AI assistant can create and modify records inside your Zoninga account — for example adding transactions, accounts, budgets, or goals to your ledger. These are bookkeeping entries in the Service only; they do not affect your real bank accounts. Certain sensitive in-app actions (such as archiving an account or canceling a subscription) additionally require your explicit approval on a confirmation card before they take effect. You are responsible for reviewing what the assistant records on your behalf.

Zoninga is not a financial advisor, bank, or investment platform. The Service provides tools for personal financial organization only. Nothing in the Service — including any output of the AI assistant or monitoring agent — constitutes financial, investment, tax, or legal advice, or a recommendation to buy or sell any security.

2. Account Registration

  • You must be at least 18 years of age to create an account.
  • You must provide a valid email address and accurate information.
  • You are responsible for maintaining the security of your account credentials.
  • You must notify us immediately at support@zoninga.com if you suspect unauthorized access to your account.
  • You may not create multiple accounts or share your account with others.

3. Subscription and Billing

3.1 Plans

Zoninga offers a Free tier with basic features and a Premium tier with advanced features. New accounts receive a 14-day Premium trial. Feature limits and pricing are described on our website.

3.2 Payment and Automatic Renewal

Premium subscriptions are billed through Stripe in U.S. dollars. By subscribing, you authorize us and Stripe to charge your payment method the then-current subscription fee on an automatically recurring basis (monthly or annually, depending on the plan you select) until you cancel. Your subscription renews automatically at the end of each billing period. If we change the subscription price, we will give you advance notice by email, and the new price will apply only to your next renewal.

3.3 Cancellation

You may cancel your Premium subscription at any time through the Subscription settings page. After cancellation, you retain Premium access until the end of your current billing period, after which your account reverts to the Free tier. No refunds are provided for partial billing periods.

4. User Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to the collection and processing of your data as described in the Privacy Policy.

5. Plaid Integration

If you choose to link a bank account through the Service, you authorize Plaid Inc. to access your financial institution on your behalf and to transmit your financial data to Zoninga for display in your dashboard.

  • Plaid's access is governed by the Plaid End User Privacy Policy.
  • You may disconnect linked accounts at any time through the Zoninga dashboard.
  • Zoninga stores synced transaction data encrypted at rest. Plaid access tokens are stored encrypted and are revoked when you disconnect an account or cancel your Zoninga account.

6. Your Data and Intellectual Property

6.1 Your Data

You own your financial data. We claim no ownership over the data you provide or that is synced from your bank accounts. You may export your data at any time and request deletion in accordance with our Privacy Policy.

6.2 Our Service

The Zoninga platform, including its design, code, features, and documentation, is owned by Zoninga and protected by applicable intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to the Service or other users' data
  • Scrape, crawl, or use automated tools to extract data from the Service
  • Interfere with or disrupt the Service's infrastructure
  • Upload malicious content or attempt to exploit security vulnerabilities
  • Use the Service to launder money or facilitate financial fraud

If you connect a third-party application or AI assistant to your account (for example, through our API or AI connector), you are responsible for that tool's access to your data and for keeping its credentials secure. You may revoke any such connection at any time from your account settings.

Violation of these terms may result in immediate account termination.

8. Data Deletion

You may request deletion of all your personal data at any time by contacting support@zoninga.com or by deleting records directly within the dashboard. Deletion requests are fulfilled within 45 days in accordance with the California Consumer Privacy Act (CCPA).

Certain financial records may be retained for up to 7 years after account cancellation as required by IRS record-keeping regulations and Bank Secrecy Act/Anti-Money Laundering compliance. After the retention period, all remaining data is permanently deleted.

9. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

  • Zoninga does not guarantee the accuracy, completeness, or timeliness of data synced from financial institutions via Plaid.
  • Zoninga is not responsible for errors, outages, or data discrepancies caused by third-party services (Plaid, Stripe, financial institutions).
  • Nothing in the Service constitutes financial, tax, investment, or legal advice.
  • The Service includes AI-powered features. AI-generated responses may be inaccurate, incomplete, or out of date, and you should independently verify any output before relying on it. AI output does not constitute financial, tax, investment, or legal advice.
  • The monitoring agent is a best-effort convenience, not a guarantee. It may fail to detect, or fail to notify you of, any particular event (including upcoming bills, low balances, or unusual activity), and notifications and emails may be delayed or undelivered. You remain solely responsible for monitoring your own finances and paying your own obligations on time. Zoninga is not liable for overdrafts, late fees, missed payments, or other losses arising from an alert that was not generated or not received, or from acting on the agent's suggestions.
  • To the maximum extent permitted by law, Zoninga's total liability for any claim arising from your use of the Service is limited to the amount you paid for the Service in the 12 months preceding the claim, or $100, whichever is greater.

10. Indemnification

You agree to indemnify and hold harmless Zoninga, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

11. Business Transfer

If Zoninga is acquired, merged with another entity, or sells substantially all of its assets, your data may be transferred to the new owner as part of the transaction. We will provide at least 30 days' advance notice via email before any such transfer. You may delete your account and all associated data before the transfer takes effect.

12. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

12.1 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service ("Dispute") shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under the AAA Consumer Arbitration Rules then in effect.

12.2 Location

Arbitration shall take place in the State of Iowa, or at another mutually agreed location. For claims under $25,000, arbitration may be conducted entirely by telephone, video conference, or written submissions at your election.

12.3 Class Action Waiver

You and Zoninga agree that all Disputes shall be resolved on an individual basis only. You waive any right to participate in a class action, class arbitration, or any other representative proceeding. The arbitrator may not consolidate claims or preside over any form of representative or class proceeding.

12.4 Opt-Out Right

You may opt out of this arbitration agreement by sending written notice to support@zoninga.com within 30 days of creating your account. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration. If you opt out, Disputes will be resolved in the state or federal courts located in Iowa.

12.5 Small Claims Exception

Either party may bring an individual claim in small claims court for Disputes within that court's jurisdictional limits (typically claims under $10,000), provided the claim remains on an individual (non-class) basis.

12.6 Fees and Costs

Each party shall bear its own attorney fees and costs. The AAA's Consumer Arbitration Rules govern the allocation of arbitration filing fees and arbitrator compensation.

13. Governing Law

These Terms and any Disputes shall be governed by and construed in accordance with the laws of the State of Iowa, without regard to its conflict of law provisions.

14. Termination

You may close your account at any time. We may suspend or terminate your account if you violate these Terms. Upon termination, your data is retained in accordance with our Privacy Policy and Data Retention Policy.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, you will be asked to review and accept the updated Terms before continuing to use the Service; we may also notify you by email. Material changes become effective for you when you accept them. Non-material changes (such as clarifications or corrections) take effect when posted, and your continued use of the Service constitutes acceptance. If you do not agree with the revised Terms, you must stop using the Service and may close your account.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. If the class action waiver in Section 12.3 is found to be unenforceable, the entire arbitration agreement (Section 12) shall be void, and Disputes shall be resolved in the courts of the State of Iowa.
